By accessing or using the EatsForAI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service. EatsForAI is a SaaS platform that helps restaurants and food trucks become discoverable by AI systems.

2. Description of Service

EatsForAI provides the following services:

• Restaurant and food truck website creation
• Automated website generation
• POS system integration (Square, Stripe)
• Menu content and image generation
• Online ordering and payment processing
• Analytics and business insights
• Code snippets for existing websites

3. Account Registration and Responsibilities

Account Creation

• You must provide accurate, current, and complete information
• You are responsible for maintaining account security
• You must be authorized to represent the business you register
• One account per business entity

Acceptable Use

• Use the Service only for legitimate restaurant or food truck operations
• Provide accurate business information and menu details
• Comply with all applicable laws and regulations
• Respect intellectual property rights
• Not engage in fraudulent, abusive, or harmful activities

4. Subscription and Payment Terms

Subscription Plans

EatsForAI offers various subscription tiers ranging from $29-79/month. Pricing and features are subject to change with advance notice.

Payment Processing

• Payments are processed through Stripe
• Subscriptions automatically renew unless cancelled
• All fees are non-refundable unless otherwise stated
• Failed payments may result in service suspension

Platform Fees

For order processing through our platform, we charge transaction fees as disclosed in your dashboard. These fees are separate from subscription costs.

5. Intellectual Property Rights

Your Content

You retain ownership of your business information, menu content, and branding. By using our Service, you grant us a license to use, modify, and display your content for the purpose of providing our services.

Generated Content

AI-generated images, descriptions, and website templates created through our platform become your property, subject to the underlying AI service terms.

Platform Technology

EatsForAI retains all rights to our platform, software, and proprietary technology. You may not reverse engineer, copy, or create derivative works.

6. AI-Generated Content Disclaimer

Content Accuracy

Our platform uses artificial intelligence to generate menu descriptions, images, and other content. WHILE WE STRIVE FOR ACCURACY, AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR OMISSIONS. You are solely responsible for reviewing and approving all AI-generated content before it is published on your website.

AI Recommendations

Our intelligent upselling feature uses AI to suggest menu items to customers. These recommendations are automated suggestions based on algorithms and DO NOT CONSTITUTE PROFESSIONAL ADVICE OR GUARANTEES. We are not liable for any decisions customers make based on AI recommendations.

AI Discoverability

Our AI SEO and discoverability features track how AI assistants (such as ChatGPT, Google, and others) may reference your business. WE DO NOT GUARANTEE THAT ANY AI SYSTEM WILL DISCOVER, RECOMMEND, OR ACCURATELY REPRESENT YOUR BUSINESS. AI system behavior is outside our control, and results may vary.

Image Generation

AI-generated images are artistic interpretations and MAY NOT ACCURATELY REPRESENT YOUR ACTUAL MENU ITEMS, PORTIONS, OR PRESENTATION. You are responsible for ensuring generated images appropriately represent your offerings and comply with applicable advertising and consumer protection laws.

7. Rewards Program Terms

Program Nature

The customer rewards program is an optional feature that restaurants may enable at their discretion. REWARDS POINTS HAVE NO CASH VALUE AND CANNOT BE REDEEMED FOR CASH, TRANSFERRED, OR SOLD. Points are promotional credits only.

Point Calculation

Points are calculated based on qualifying purchases as determined by the platform. We reserve the right to adjust, correct, or void points that were awarded in error, obtained through fraudulent means, or that result from technical glitches. Point balances displayed are estimates and may be subject to adjustment.

Program Changes

Restaurants may modify, suspend, or terminate their rewards program at any time, including changing point values, reward tiers, or redemption options. EatsForAI may also modify platform-level rewards features. WE ARE NOT LIABLE FOR ANY LOSS OF POINTS OR REWARDS DUE TO PROGRAM CHANGES, ACCOUNT TERMINATION, OR TECHNICAL ISSUES.

Reward Fulfillment

Individual restaurants are solely responsible for honoring and fulfilling rewards redeemed by customers. EatsForAI facilitates the rewards program but does not guarantee reward availability, fulfillment, or quality. Any disputes regarding reward fulfillment are between the customer and the restaurant.

Point Expiration and Forfeiture

Points may expire after a period of account inactivity as determined by the restaurant or platform. Points may be forfeited if: (a) the customer's account is terminated, (b) the customer violates these Terms, (c) the restaurant discontinues their rewards program, or (d) fraudulent activity is detected.

8. Data and Privacy

Your privacy is important to us. Our Privacy Policy, incorporated by reference, explains how we collect, use, and protect your information.

• We use your data to provide and improve our services
• Business information may be made publicly accessible through your generated website
• We integrate with third-party services (Square, Stripe) as authorized by you
• You can export your data and delete your account at any time

9. Third-Party Integrations

POS Systems

When you connect Square or other POS systems, you authorize us to access and sync your menu data, pricing, and order information. We are not responsible for issues arising from third-party service disruptions.

Payment Processing

Payment processing is handled by Stripe. You must comply with Stripe's terms of service and maintain good standing with their platform.

10. Service Availability and Support

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• Customer support is provided via email and in-platform messaging
• We may modify or discontinue features with reasonable notice

11. Termination

By You

You may cancel your subscription at any time. Service will continue until the end of your current billing period.

By Us

We may terminate or suspend your account for violations of these Terms, non-payment, or other legitimate business reasons.

Effect of Termination

Upon termination, your access to the Service will cease, your website may be taken offline, and your data may be deleted after a reasonable grace period.

12. Disclaimers and Limitations of Liability

Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ERROR-FREE OR UNINTERRUPTED USE. WE DO NOT GUARANTEE THAT AI SYSTEMS WILL DISCOVER OR RECOMMEND YOUR BUSINESS, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE AT ALL TIMES.

No Professional Advice

Our service provides general information and tools but does not constitute business, legal, financial, or professional advice. You should consult with qualified professionals for advice specific to your business needs.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EATSFORAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM SERVICE INTERRUPTIONS, ERRORS, OR SECURITY BREACHES
• DAMAGES ARISING FROM THIRD-PARTY ACTIONS OR CONTENT
• DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO EATSFORAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless EatsForAI, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from or related to:

• Your use of the Service or violation of these Terms
• Your business content, menu information, or other data provided to the Service
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable laws or regulations
• Any claim that your content caused damage to a third party
• Your gross negligence or willful misconduct

This indemnification obligation will survive termination of these Terms and your use of the Service.

14. Dispute Resolution

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California, and you hereby consent to personal jurisdiction and venue therein.

Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Most disputes between you and EatsForAI can be resolved informally. In the event of a formal dispute, you and EatsForAI agree that any and all disputes, claims, or controversies arising out of or relating to these Terms or the Service (except as specifically excluded below) will be resolved through binding individual arbitration rather than in court.

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and will be held in Los Angeles County, California. The arbitrator's decision will be final and binding.

Exceptions to Arbitration

The following disputes are not subject to arbitration: (a) disputes seeking injunctive relief, (b) disputes related to intellectual property infringement, and (c) small claims court cases under the jurisdictional limit.

Class Action Waiver

YOU AND EATSFORAI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and EatsForAI agree otherwise, the arbitrator may not consolidate more than one person's claims or otherwise preside over any form of representative or class proceeding.

Informal Resolution

Before filing any formal dispute, you agree to first contact EatsForAI through our Contact page to attempt to resolve the dispute informally. We will do the same if we have a dispute with you.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of the Service after changes constitutes acceptance of the new Terms.

16. Force Majeure

EatsForAI will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, strikes, epidemics, government regulations, disasters, or other unforeseeable circumstances.

17. User Representations and Warranties

By using the Service, you represent and warrant that:

• You have the legal right and authority to enter into these Terms
• You will use the Service only for lawful purposes
• All information you provide is accurate and truthful
• You own or have necessary rights to all content you submit
• Your use of the Service will not violate any applicable laws or third-party rights

18. Intellectual Property and DMCA

We respect intellectual property rights. If you believe that material on our Service infringes your copyright, please contact us through our Contact page with:

• A description of the copyrighted work you claim has been infringed
• The location of the allegedly infringing material
• Your contact information
• A statement of good faith belief that the use is not authorized
• A statement of accuracy and authority to act on behalf of the copyright owner

We will respond to valid DMCA notices in accordance with applicable law.

19. Export Controls and Sanctions

You agree to comply with all applicable export control and sanctions laws. You may not use the Service if you are located in a country subject to U.S. embargo or if you are on any U.S. government restricted parties list.

20. Survival

The following sections will survive termination of these Terms: Intellectual Property Rights, Indemnification, Disclaimers and Limitations of Liability, Dispute Resolution, and any other provisions that by their nature should survive.

21. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and EatsForAI
• Severability: If any provision is found unenforceable, the remainder shall remain in effect
• Waiver: Our failure to enforce any right or provision is not a waiver of such right or provision
• Assignment: You may not assign these Terms without our written consent; we may assign without restriction
• Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights
